IMPORTANT LEGAL NOTICE
By accessing or using Invyt ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms include limitations of liability and a dispute resolution clause that affect your legal rights.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vyt, trading as Invyt ("Company," "we," "us," or "our") governing your access to and use of the Invyt platform, website, and services.
By using the Service in any capacity (whether as a registered user, guest, event host, or event attendee), you acknowledge that you have read, understood, and agree to be bound by these Terms. Your continued use of the Service constitutes ongoing acceptance of these Terms and any updates thereto.
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or a prominent notice on the Service before the changes take effect. Your continued use after the notice period constitutes acceptance of the modified Terms. If you do not agree with any changes, you may stop using the Service and request deletion of your account.
2. Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account or host events. By using the Service, you represent and warrant that:
- You have the legal capacity to enter into binding contracts
- You are not prohibited from using the Service under applicable laws
- You will comply with these Terms and all applicable laws and regulations
- All information you provide is accurate, current, and complete
Guests who receive event invitations and submit RSVP responses may be under 18 years of age, provided their parent or guardian has consented to their use. Event hosts are responsible for ensuring appropriate consent for events involving minors.
3. Service Description
Invyt provides a digital platform for creating, sharing, and managing event invitations. The Service includes:
- Event invitation creation and customization tools
- Premium and custom design templates and backgrounds
- Guest RSVP collection and management dashboard
- Event sharing and distribution via shareable links
- Payment collection from guests (ticket sales and gift contributions)
- Event update broadcasting to confirmed guests
- Co-host dashboard access for collaborative event management
- Guest list management and export tools
The Service is provided "as is" and "as available." We do not guarantee uninterrupted access, error-free operation, or that the Service will meet your specific requirements. We do not guarantee the delivery of emails or push notifications, as delivery depends on third-party email providers, recipient email settings, spam filters, and browser notification permissions. You should not rely solely on the Service for time-critical communications.
4. Purchases and Payments
4.1 Premium Features
The Service offers optional premium features that may be purchased. These include premium card designs, event bundles, gallery add-ons, export tools, co-host access, broadcast messaging, custom branding, guest list management, and other features as available. Purchases are:
- Event-Specific: Unless otherwise stated, each purchase applies to one specific event only
- Non-Transferable: Purchases cannot be transferred to other events or users
- Immediate Delivery: Digital content is delivered immediately upon purchase
4.2 Subscription Plans
We may offer subscription plans (such as monthly or yearly plans) that provide access to premium features across multiple events. Subscriptions:
- Auto-Renew: Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access to subscription features until the period ends
- Price Changes: We will notify you at least 30 days before any subscription price increase. Continued use after the notice period constitutes acceptance of the new price
4.3 Credits and Grants
We may issue event credits, promotional grants, or complimentary feature unlocks at our discretion. These are non-transferable, have no cash value, and may be subject to expiry dates. We reserve the right to revoke grants that were issued in error or obtained through fraudulent means.
4.4 Refund Policy
Due to the immediate delivery of digital content, we generally do not offer refunds for completed purchases. However:
- If a purchased feature fails to function as described and we are unable to resolve the issue, you may be entitled to a refund
- Refund requests should be directed to support@invyt.io within 14 days of purchase
- Each refund request is assessed on its merits
Australian Consumer Law Notice: Nothing in this refund policy excludes, restricts, or modifies any consumer guarantee or right conferred on you by the Australian Consumer Law. If a product or service you purchased has a major failure, you are entitled to a replacement or refund. If it has a minor failure, we will repair or replace it within a reasonable time, or you may be entitled to a refund.
4.5 Payment Processing
Payments are processed by Stripe. Your use of payment services is subject to Stripe's terms and privacy policies. We are not responsible for payment processor errors, delays, or failures beyond our control. All prices are displayed in Australian Dollars (AUD) unless otherwise specified.
5. Gift Contributions and Ticket Sales
5.1 Platform Role
The Service allows event hosts to collect monetary gift contributions and ticket payments from guests. Invyt acts solely as a technology platform that facilitates these transactions. We are not a party to any financial arrangement between hosts and guests. We are not a bank, money transmitter, or financial services provider.
5.2 Fees
Gift contributions and ticket payments are subject to platform fees and payment processing fees. The applicable fees are displayed to the payer before they complete payment. Platform fees are charged to the payer (not the host), and the host receives the full gift or ticket amount.
5.3 Disputes Between Hosts and Guests
Any disputes regarding gift contributions or ticket payments are between the host and the guest. We are not responsible for:
- Events that are cancelled after payments are collected
- Disagreements over gift amounts or ticket pricing
- Hosts who fail to deliver on event promises
- Guests who dispute legitimate charges
We may, at our sole discretion, assist in resolving disputes but are under no obligation to do so. Hosts are solely responsible for any refund obligations to their guests.
5.4 Cash and Bank Transfer Payments
Where a host selects cash or bank transfer as a payment method, Invyt merely displays the host's instructions to guests. We do not process, verify, or guarantee these off-platform payments. Any financial arrangement made outside of Stripe is entirely between the host and guest.
6. Co-Host Access
Event hosts may grant co-host access to other registered users. Co-hosts can view event dashboard information including guest responses, RSVP details, and event analytics. The event host is responsible for:
- Choosing co-hosts they trust with access to guest information
- Informing guests that co-hosts may view their response details
- Any actions taken by their co-hosts through the dashboard
We may revoke co-host access if the associated purchase is refunded, or if the co-host violates these Terms.
7. Event Update Broadcasts
Hosts may send update messages to all confirmed guests via email and push notifications. By using this feature, hosts agree to:
- Only send updates relevant to the event
- Not use broadcasts for spam, advertising, or content unrelated to the event
- Comply with applicable anti-spam laws, including the Australian Spam Act 2003
We reserve the right to suspend broadcast access if we determine it is being used in violation of these Terms or applicable law.
8. User Content
You retain ownership of content you create using the Service ("User Content"), including event details, custom card designs, uploaded images, and messages. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and transmit such content solely for providing the Service (for example, displaying your invitation to guests or sending event update emails).
You represent and warrant that your User Content:
- Does not infringe any third-party intellectual property rights (including uploaded images and custom card backgrounds)
- Does not violate any laws or regulations
- Does not contain harmful, offensive, or inappropriate material
- Does not contain malware, viruses, or malicious code
- Does not promote illegal activities or harmful gatherings
We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without notice or liability. If you believe content on our Service infringes your copyright, please contact us at support@invyt.io with details of the alleged infringement.
9. Intellectual Property
The Service, including all content, features, functionality, designs, and trademarks, is owned by us or our licensors and protected by intellectual property laws. You may not:
- Copy, modify, or distribute the Service or its content
- Reverse engineer or attempt to extract source code
- Use our trademarks without written permission
- Remove or alter any proprietary notices
Premium templates and designs are licensed for personal, non-commercial use in connection with your events only.
10. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or to promote illegal activities
- Attempt to circumvent purchase restrictions or security measures
- Share, sell, or transfer purchases to third parties
- Use automated systems (bots, scrapers) to access the Service
- Interfere with or disrupt the Service or its infrastructure
- Impersonate others or provide false information
- Collect user information without consent
- Use the Service or broadcast features for spam or unsolicited communications
- Create events that promote discrimination, harassment, or harm to others
- Abuse the gift contribution or payment features for money laundering or fraud
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Emails, notifications, or invitations will be delivered successfully
- Results obtained will be accurate or reliable
- The Service will meet your requirements
- Event information provided by hosts is accurate or complete
- Defects will be corrected within any specific timeframe
Australian Consumer Law Notice: Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms purports to exclude, restrict, or modify any consumer guarantee under the ACL. For major failures with the Service, you are entitled to a refund. For minor failures, you are entitled to have the issue rectified within a reasonable time.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING THE AUSTRALIAN CONSUMER LAW), IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
Without limiting the above, we are not liable for:
- Failed or delayed delivery of emails, push notifications, or invitations
- Guests missing events due to notification failures
- Loss of draft event data or gallery images stored in your browser
- Disputes between event hosts and guests regarding payments or gifts
- Actions taken by co-hosts with dashboard access
- Inaccurate event information provided by hosts
- Payment processing failures or delays caused by Stripe
Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred Australian dollars (A$100).
These limitations apply to the maximum extent permitted by law and do not affect your rights under the Australian Consumer Law or any other statutory rights that cannot be excluded by agreement.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service
- Your User Content (including uploaded images that infringe third-party rights)
- Your violation of these Terms
- Your violation of any third-party rights
- Any events you create or host using the Service, including disputes with guests
- Your use of the gift contribution or payment collection features
- Your use of the broadcast feature in violation of anti-spam laws
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute proceedings, you agree to first contact us at support@invyt.io and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved through direct communication.
14.2 Formal Disputes
If we cannot resolve a dispute informally, either party may pursue resolution through the courts of Australia or through an alternative dispute resolution process agreed upon by both parties.
14.3 Small Claims and Consumer Tribunals
Nothing in these Terms prevents you from filing a complaint with a state or territory consumer tribunal (such as NCAT, VCAT, or QCAT) or small claims court in your jurisdiction. Your right to access these forums is not waived by these Terms.
14.4 Exceptions
Either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Australia, including the Australian Consumer Law. To the extent litigation is permitted, you consent to the non-exclusive jurisdiction of the courts of Australia.
Australian Consumer Law Notice: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.
16. Termination
16.1 Termination by Us
We may terminate or suspend your access to the Service if you breach these Terms or engage in prohibited conduct. Where practicable, we will provide notice and an opportunity to remedy the breach before termination.
16.2 Termination by You
You may stop using the Service at any time. You may request deletion of your account by contacting support@invyt.io. Upon account deletion:
- Your account and profile data will be deleted within 30 days
- Event data will be retained for 12 months after the event date for guest access, then deleted
- Transaction records will be retained as required by law (up to 7 years)
- Active subscriptions will be cancelled at the end of the current billing period
16.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases
- Provisions that should survive termination (including limitation of liability, indemnification, and governing law) remain in effect
Australian Consumer Law Notice: Termination does not affect your consumer guarantee rights for purchases made before termination.
17. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, third-party service provider outages, or internet infrastructure failures.
18. General Provisions
18.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18.2 Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. Any waiver must be in writing and signed by us.
18.3 Assignment
We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations without our prior written consent.
18.4 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE SERVICE.
